STRATUM TERMS OF SERVICE
1. WHO WE ARE AND WHO CAN USE STRATUM
1.1 These Terms. These Terms of Service (“Terms”) are an agreement between your firm (“you”) and Stratum GenOps LLC, a Wyoming limited liability company (“Stratum,” “we” or “us”). You can reach us at support@stratumgenops.com or 30 North Gould Street, Sheridan, WY 82801.
1.2 Eligibility. Stratum is for business customers only. You may use Stratum only for a business, including a sole proprietorship, established and based in the United States. Each person who uses Stratum for you shall be at least 18 years old. You shall not use Stratum where U.S. sanctions or export control laws prohibit it.
1.3 Acceptance. You accept these Terms by ticking the agreement box before you first upload a document or make a purchase, whichever comes first. The person who accepts confirms that they have authority to bind your firm. We shall keep a record of the version you accepted. Our Privacy Policy explains how we handle personal information.
2. THE PROPOSAL REVIEW SERVICE
2.1 What Stratum Does. Stratum provides self-serve proposal review software (“Proposal Review”). It reviews the proposal and related materials you supply for submission to a prospective customer (your “buyer”) and returns findings, suggested wording and related review support (“Outputs”).
2.2 Your Decisions. Suggested wording does not change your original files. Your team decides every change and what to approve, submit or share. Stratum does not sign or submit anything for you, and it does not contact your buyer or your clients.
2.3 No Professional Advice. Stratum provides review support. It is not legal or other professional advice. Outputs may be incomplete or wrong, so check them against your documents. Stratum does not promise an award, acceptance, compliance or any particular result.
2.4 Free Check. The free check is a limited preview of a review. It shows a few findings that are plain from the proposal’s own wording, each with the quoted text and why it matters, and the number of remaining findings at each severity level. It does not include ready-to-paste fixes.
2.5 Upload Limits. Before you upload, the upload screen shows the file types, number of documents and size limits that apply.
3. YOUR CONTENT AND ACCEPTABLE USE
3.1 Your Permissions. You shall hold all rights and permissions needed to upload your material and to allow the processing described in these Terms, including your client’s permission and any consent needed for recordings or transcripts. You shall not upload material that a law, contract or client restriction prevents you from sharing with a software provider.
3.2 Prohibited Material. You shall not upload credentials, payment card or financial account numbers, government identification numbers, health information, information about children, classified information, Controlled Unclassified Information (CUI) or controlled technical data. If you upload such material, we may delete it without notice.
3.3 Your Buyer’s Rules. You shall comply with any rules your buyer sets on the use of AI tools or the disclosure of that use, and with your agreements with your own clients.
3.4 Acceptable Use. You shall not, and shall not allow anyone else to: (a) use Stratum or its Outputs to build or train a competing product; (b) copy, reverse engineer or scrape any part of Stratum; (c) get around usage limits, access controls or security measures; (d) upload malware or test Stratum for vulnerabilities; or (e) use Stratum unlawfully or in breach of any AI provider usage policy we make available to you.
3.5 Your Account. You shall keep your account credentials secure and tell us promptly at support@stratumgenops.com if you suspect unauthorized use. You are responsible for activity under your account.
4. PACKS, CREDITS AND REFUNDS
4.1 Packs. A pack contains 10 credits, each good for one completed Proposal Review, at the price shown at checkout, currently USD 1,000. Each pack lasts 90 days from purchase. Packs do not renew automatically, and unused credits do not roll over. You may buy more packs at any time. If you hold more than one pack, credits from the pack that expires soonest are used first. The pricing page states how long a pack lasts, and we shall show the exact expiry date at checkout, on your receipt and in the customer portal.
4.2 Using Credits. A review is completed when its results are available in your account. Each completed review uses one credit, once. Unlocking a completed free preview uses one credit. Credits may be used only by your firm and cannot be transferred.
4.3 Rerun with the Buyer’s Documents. If you add the buyer’s documents within 48 hours after a paid review completes, you may rerun that review once without using another credit, provided the rerun starts before the pack expires. For an unlocked free preview, the 48 hours start when you unlock it. Any other rerun of a revised proposal is a new review and uses one credit.
4.4 Failed Reviews. A review that fails or does not complete uses no credit. If a review fails for a technical reason before the analysis starts, Stratum may retry it automatically up to three times. Retries use no extra credit and do not change the pack’s expiry date.
4.5 Refunds. Purchased credits are non-refundable, including unused, expired and partly used credits, except that: (a) if we permanently discontinue Proposal Review, or end your access for any reason other than your breach of these Terms, we shall refund your credits that were unused and unexpired when the discontinuation or termination took effect; and (b) Section 5.2 sets out the other case in which a refund is due. We shall refund each credit at one tenth of the price paid for its pack, to your original payment method, within 30 days after the refund becomes due. Nothing in these Terms excludes a refund that applicable law requires.
4.6 Payment and Taxes. You shall pay for each pack in advance in U.S. dollars. Prices exclude taxes, and you shall pay any sales, use or similar taxes that apply to your purchase, other than taxes on our income. If you start a chargeback for a charge that is not genuinely disputed, we may suspend your account under Section 9.1.
4.7 Purchases After a Free Check Is Deleted. If your payment arrives after your free-check documents have been deleted under Section 8.3, the free preview can no longer be unlocked and no credit is used for it. You may upload the documents again and run a new review with your credit.
4.8 Refunds and Access. A refund of part of a pack’s price ends only the credits refunded and does not otherwise affect your Outputs or the pack’s other unused credits. If we refund a pack in full, or you dispute a payment for a pack with your bank or card issuer, that pack’s unused credits end and you lose access to the full Outputs of the reviews run with its credits.
5. SERVICE STANDARD AND DISCLAIMER
5.1 Service Standard. We shall perform each paid review substantially as described in our product documentation at the time of your purchase, using commercially reasonable care.
5.2 Your Remedy. If a completed paid review materially falls short of Section 5.1 and you tell us within 14 days after it completes, we shall, at our choice, rerun the review without using a credit or restore the credit. A restored credit remains valid until the later of its original expiry date and 30 days after restoration. If the rerun also materially falls short, or we cannot make the restored credit usable while it is valid, we shall refund that credit under Section 4.5. Subject to any rights that cannot lawfully be excluded, this is your sole and exclusive remedy for a review that falls short of Section 5.1.
5.3 Disclaimer. EXCEPT AS STATED IN SECTION 5.1, STRATUM AND ALL OUTPUTS ARE PROVIDED “AS IS.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WE DO NOT WARRANT THAT STRATUM WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE.
6. OWNERSHIP AND LICENSE
6.1 Your Content. You and your licensors keep your rights in the material you upload. Subject to Section 3.4, you may use, copy, modify and share your Outputs, including any Stratum material in them, for your firm’s business purposes. We claim no rights in your Outputs other than in that Stratum material. Outputs may be similar to outputs we generate for others, and those other outputs are not your Customer Content. In these Terms, “Customer Content” means the material you upload, your Outputs and the text and records we create from them.
6.2 License to Stratum. You grant us a non-exclusive, royalty-free license to host, copy, process and transmit Customer Content, including to the providers named in our Privacy Policy, solely to run your reviews, provide support, keep Stratum secure and comply with law. This license ends when the Customer Content is deleted under Section 8.
6.3 Stratum’s Property. We own Stratum, including its software, methods, templates and review structure, and the general know-how we develop in providing it. These Terms give you no other rights in Stratum beyond the right to use it under these Terms. We may use data about how Stratum is used, such as counts, timings, file sizes and error logs, to operate and improve Stratum, provided that data contains no Customer Content.
6.4 Feedback. We may use any suggestions or feedback you send us freely and without obligation to you, provided we do not use or disclose your Customer Content in doing so.
7. CONFIDENTIALITY, AI PROCESSING AND SECURITY
7.1 Confidentiality. We shall treat Customer Content as confidential and use and disclose it only to provide Stratum to you, as described in these Terms and our Privacy Policy. Before a review reaches you, our owner may read its review record, which can include text from your documents.
7.2 AI Processing. To run a review, we send the text of your documents to our AI providers, which are named in our Privacy Policy. You authorize that processing, and the license in Section 6.2, for your own reviews. We shall use each AI provider only under terms that do not allow it to train its models on Customer Content and that limit how long it may keep that text. Without your written permission, we shall not use Customer Content in prompts, tests or evaluation beyond your own reviews, reuse it for another customer or use it to train AI models.
7.3 Exceptions. Section 7.1 does not apply to information that is or becomes public through no fault of ours, that we knew before you shared it, that we develop independently, or that we receive lawfully from someone else without a duty of confidentiality.
7.4 Required Disclosure. We may disclose Customer Content where law or legal process requires it. Where the law allows, we shall give you prompt notice first so that you can seek protection.
7.5 Personal Information. Where the California Consumer Privacy Act applies to personal information in Customer Content, we act as your service provider and shall: (a) process it only on your behalf for the business purpose of providing Stratum to you under these Terms; (b) not sell or share it, or retain, use or disclose it for any other purpose, including any commercial purpose, or outside our direct business relationship with you; (c) not combine it with personal information we receive from others or collect ourselves, except as applicable privacy law permits a service provider to do; (d) comply with applicable privacy law and provide the same level of privacy protection that it requires of you; (e) give you the information you reasonably request to show our compliance, and allow you to take reasonable and appropriate steps to stop and remedy any use this Section does not permit; (f) help you respond to consumer requests by reasonable means; (g) engage providers that receive it only under written terms that meet applicable privacy law; and (h) tell you if we can no longer meet these obligations.
7.6 Security. We shall maintain commercially reasonable administrative, technical and physical safeguards for Customer Content. After we confirm a security incident affecting it, we shall notify you without undue delay.
8. RETENTION AND DELETION
8.1 Paid Documents. We shall delete paid customer documents, and the records we create from them, such as extracted text and findings, 30 days after your paid access ends, or sooner if you ask.
8.2 End of Paid Access. Paid access means access to your completed paid reviews and their Outputs. It ends on the earliest of: (a) the closure of your account; (b) the end of your access under Section 9.2; and (c) 12 months after your last pack expires, if you have not bought another pack. For reviews run with a pack, it also ends when access to their Outputs ends under Section 4.8. Suspension under Section 9.1 and credit expiry do not end paid access.
8.3 Free-Check Documents. We shall delete free-check documents, and the records we create from them, 7 days after your free check is verified. If you unlock the preview within that time, they become paid documents and Section 8.1 applies.
8.4 Backups, Providers and Downloads. Deleted material may remain in our backup copies for up to 30 days after deletion, until our normal backup cycle overwrites it. Our AI providers may keep text they receive for the limited periods described in our Privacy Policy. We may keep material longer where law or legal process requires it. Section 7 continues to apply to all such copies. Files you have downloaded stay with you. Our Privacy Policy explains how long we keep other records.
9. SUSPENSION AND TERMINATION
9.1 Suspension. We may suspend your access if you fail to pay, start a chargeback for a charge that is not genuinely disputed or breach Section 3, if your use creates a security risk, or if the law requires it. We shall give you notice where practicable.
9.2 Termination by Stratum. We may end your access if you breach these Terms and, where the breach can be fixed, you do not fix it within 10 days after our notice. We may end it immediately where the breach creates a security risk or where the law requires it. We may also end your access for any other reason on 30 days’ notice, in which case Section 4.5(a) applies.
9.3 Closing Your Account. You may close your account at any time by emailing support@stratumgenops.com. No refund is due except under Section 4.5.
9.4 Effect. When your access ends, your right to use Stratum stops. If we end your access for your breach, your remaining credits are forfeited. Section 8 governs the deletion of your Customer Content.
10. LIABILITY AND INDEMNITY
10.1 Excluded Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST AWARDS, BIDS OR CONTRACTS, OR LOST DATA, EVEN IF ADVISED THAT THEY WERE POSSIBLE.
10.2 Liability Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND USD 100.
10.3 Exceptions. Sections 10.1 and 10.2 do not limit your payment obligations, your obligations under Section 3 or Section 10.4, or any liability that cannot be limited under applicable law.
10.4 Your Indemnity. You shall defend and indemnify Stratum and its members, managers, employees and contractors against any third-party claim, and the resulting losses, damages, costs and reasonable attorneys’ fees, arising from material you upload, your use of any Output in a proposal or other document you submit, your lack of any right or permission required by Section 3.1, or your breach of Section 3. We shall notify you promptly of the claim, but a delay relieves you of your obligations only to the extent it materially prejudices your defense. You shall control the defense with counsel reasonably acceptable to us, we may take part with our own counsel at our own expense, and we shall cooperate reasonably at your expense. You shall not settle the claim in a way that admits fault for us or imposes any obligation on us without our written consent. If you do not take over the defense within 15 days after our notice, we may defend and settle the claim at your expense, and your obligations under this Section 10.4 remain in effect.
11. DISPUTES
11.1 Governing Law. Wyoming law governs these Terms, without regard to its conflict of laws rules.
11.2 Negotiation. A party with a dispute arising out of or relating to these Terms shall give the other party written notice describing it. Senior representatives of both parties shall then negotiate in good faith for 30 days.
11.3 Mediation. If negotiation does not resolve the dispute, either party may refer it to non-binding mediation administered by the American Arbitration Association under its Commercial Mediation Procedures. Mediation shall be held by video unless the parties agree otherwise, and the parties shall share the mediator’s fees and administrative fees equally.
11.4 Arbitration. Any dispute arising out of or relating to these Terms that is not resolved within 60 days after referral to mediation, or within 30 days after the negotiation period ends if neither party refers it to mediation, shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The seat of arbitration is Sheridan County, Wyoming, and hearings shall be held by video unless the arbitrator orders otherwise. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this Section 11.4.
11.5 Court Relief. Either party may bring an individual claim in small claims court, or seek injunctive relief in court to stop misuse of its confidential information or intellectual property, without first following Sections 11.2 through 11.4.
12. CHANGES AND GENERAL TERMS
12.1 Changes to These Terms. We may change these Terms by posting the new version. For a material change, we shall also email you at least 30 days before it takes effect. A change applies only to purchases made after it takes effect. Packs you have already bought, and reviews run with them, remain under the Terms you accepted, unless you agree otherwise in writing or the law requires the change.
12.2 New AI Providers. We shall email you at least 15 days before a new AI provider receives your Customer Content. If you do not accept that provider, you may close your account before that date.
12.3 Assignment. You may not assign these Terms without our written consent, and any assignment without it is void. We may assign these Terms in connection with a merger, acquisition or sale of all or substantially all of our business or assets.
12.4 Events Beyond a Party’s Control. Neither party is liable for any delay or failure caused by events beyond its reasonable control, including outages of AI, hosting or payment providers, except for payments already due. This Section 12.4 does not excuse a refund due under these Terms.
12.5 Entire Agreement. These Terms and the purchase details shown at checkout are the entire agreement between you and us about Stratum. Our Privacy Policy forms part of it only where these Terms refer to it. Our product documentation sets the standard in Section 5.1 but creates no other warranty, and other statements on our website and in our marketing materials are not part of these Terms. A separate written agreement signed by you and us, such as a non-disclosure agreement, controls over these Terms for its subject matter.
12.6 Notices. We shall send notices to the email address on your account, and you shall send notices to support@stratumgenops.com. A notice takes effect when sent, unless the sender receives a delivery failure message. You shall not attach client files or credentials to any email to us.
12.7 Severability, Waiver and Interpretation. If any part of these Terms is unenforceable, it shall be reformed to the fullest extent enforceable and the rest remains in effect. A failure to enforce any part of these Terms is not a waiver. In these Terms, “including” means including without limitation.
12.8 Survival. Ending your access does not affect rights or obligations that have already arisen. Sections 2.2, 2.3, 3.4, 4.5, 4.6, 5, 6, 7, 8, 9.4, 10, 11 and 12.3 through 12.8 survive the end of your access.
